12-MONTH DIGITAL MENU SERVICE AGREEMENT

Business-to-business agreement for ongoing TV digital menu management

CUSTOMER DETAILS

PACKAGE SELECTION

1. SERVICE

PMDG Studio will provide ongoing management of the Customer's existing digital menu artwork for the number of TV screens and

package selected above. The service covers digital menu content management only unless additional services are separately agreed in

writing.

2. INCLUDED UPDATES

Basic includes up to 2 update requests per calendar month. Standard includes up to 5 update requests per calendar month. Premium

includes up to 10 update requests per calendar month. Routine price and text changes are included. Standard and Premium may also

include the image, promotional-slide and minor layout changes stated in the applicable PMDG package schedule. Unused update

requests do not roll over.

3. WORK OUTSIDE THE SUBSCRIPTION

Complete redesigns, new branding, new menu concepts, complex animation, photography, major layout changes, additional screens, TV

or media-player faults, networking, electrical work, installation and site visits are not included unless specifically stated. Additional work

will be quoted separately.

4. TURNAROUND

Typical turnaround is 2-3 working days for Basic, 1-2 working days for Standard, and priority handling for Premium. Turnaround starts

after PMDG Studio receives complete instructions and all required content. Larger changes may take longer.

5. PAYMENT

The Customer agrees to pay the agreed monthly subscription fee throughout the initial 12-month minimum term. Payments are due on the

agreed billing date. Failure to submit update requests or use the service in a particular month does not suspend the subscription fee.

PMDG Studio may suspend service while overdue invoices remain unpaid.

6. TERM AND CANCELLATION

The initial minimum term is 12 months from the Contract Start Date. Subject to applicable law and any termination rights expressly agreed

in writing, subscription charges falling due during that minimum term remain payable. After the initial term, the service continues monthly

unless either party gives 30 days' written notice.

7. CUSTOMER RESPONSIBILITY

The Customer is responsible for checking and approving prices, product names, descriptions, offers, allergens and other information

supplied for display. PMDG Studio will implement information supplied by the Customer. The Customer should review completed updates

and promptly report any errors.

8. ARTWORK AND LICENSING

Unless otherwise agreed in writing, editable/source design files created by PMDG Studio remain the property of PMDG Studio. Third-party

fonts, images, software and other licensed assets remain subject to their applicable licences.

9. GENERAL

This agreement, together with the selected package schedule and any written quotation expressly incorporated into it, records the agreed

digital menu management service. Any additional work or variation should be agreed in writing.
